OVERVIEW

Diogenes Capital, the sponsor, developer, and asset manager, is raising $210 million for ChargeCap Ventures, a newly formed entity, to build a portfolio of owned public DC fast charging stations.

ChargeCap Ventures will enter into Purchase and Master Services Agreements with XCharge Energy USA Inc. (“XCharge”) [NASDAQ XCH], to supply charging equipment, identify site opportunities, and install and commission DC fast charging technology, and operate and maintain the charging assets

By providing ChargeCap Ventures with predictable revenue sites and a minimum utilization guarantee, XCharge is underwriting demand risk and creating an infrastructure-like investment opportunity

By utilizing XCharge’s advanced technology in publicly accessible locations, they can offer site hosts (property owners or lessees) a revenue opportunity while ensuring a fast and reliable charging experience for customers
